1. Introduction
This Privacy Policy describes how PrecisionOS Technology Inc. (“PrecisionOS,” “we,” “us,” or “our”) collects, uses, stores, and discloses Personal Information. In this Privacy Policy, “Personal Information” means information about an identifiable individual or information that can reasonably be used to identify an individual.
PrecisionOS provides virtual reality surgical simulation and related solutions that enable customers to offer orthopedic and other medical training programs to their users. Our offerings include our websites, applications, virtual reality experiences, analytics portal, and related products and services (collectively, the “Services”).
The Services include Delphi, PrecisionOS’s artificial intelligence assistant (“Delphi”), which allows users to interact with the Services using text or speech and receive AI-generated responses.
This Privacy Policy applies when you:

visit our website at https://www.precisionostech.com/ or another PrecisionOS website that links to this Privacy Policy (the “Website”);

use our analytics portal at https://dashboard.precisionostech.com/; or

access or use the Services as a customer, administrator, or end user.
The Services may be used with hardware, software, applications, or platforms provided by third parties. This Privacy Policy does not apply to the independent privacy practices of those third parties. We encourage you to review their privacy policies before using their products or services.
2. Personal Information We Collect
2.1 Customers and Administrative Users
To establish and administer a customer relationship, create accounts, process transactions, and provide the Services, we may collect:

institution or organization;

account credentials;

billing and transaction information; and

communications with PrecisionOS.
Administrative users must provide certain Personal Information to create an account, access the analytics portal, and administer the Services.
2.2 End Users
In the course of providing the Services, we collect Personal Information about individuals who use them. Depending on how an individual uses the Services and the settings selected by the individual or their organization, we may collect:

institution or organization;

email address;

type of user, such as resident, surgeon, or sales representative;

usage data, such as levels, events and milestones, performance metrics, features used, and the date and time of use;

IP address and device information;

approximate or precise location information, where enabled;

questions, prompts, and other content submitted to Delphi;

text transcripts of interactions with Delphi, including transcriptions of spoken interactions and Delphi’s responses; and

information associated with a Delphi interaction, such as the date and time of the interaction, session or account identifiers, language, and technical or diagnostic information.
A Delphi transcript may contain Personal Information or other information that a user chooses to include in a question, prompt, or response. Users should not submit information that directly identifies a patient or another individual, or other confidential or sensitive information.
Where indicated, users may choose whether to provide certain Personal Information. Some information, including the content of a Delphi interaction, is necessary for us to provide the requested AI assistant functionality.
2.3 Website Users
When you visit the Website, we may collect limited Personal Information and technical information, including:

your device’s IP address;

browser and device type;

operating system and system configuration information;

the website or page visited before you came to the Website;

pages viewed and interactions with the Website;

referral information; and
-
dates and times associated with Website activity.
If you contact us through the Website or another channel, we collect the information you provide, such as your name, contact information, organization, and the contents of your inquiry, so that we can respond.
3. How We Use Personal Information
3.1 Providing and Operating the Services
We use Personal Information to:

create and administer accounts;

allow customers and end users to access and use the Services;

provide, operate, maintain, and secure the Services;

analyze training results, performance data, and other information associated with use of the Services;

personalize and optimize the user experience;

provide software updates and information about the Services;

provide customer and technical support;

process transactions and administer customer relationships;

ensure compliance with our agreements and acceptable-use requirements;

detect, investigate, and prevent fraud, misuse, security incidents, and technical problems;

comply with applicable laws, regulations, court orders, and lawful access requests; and

establish, exercise, or defend legal claims.
3.2 Delphi
We use information associated with Delphi interactions to:

process questions, prompts, and other content submitted to Delphi and generate responses via voice or text;

create and maintain text transcripts and conversation history so that users can review or continue their interactions, where that functionality is available;

provide relevant and personalized responses based on the context of an interaction;
-
monitor, maintain, secure, and troubleshoot Delphi and the Services;
-
provide customer support and respond to questions or complaints about a Delphi interaction; and
-
evaluate and improve the quality, safety, usability, and performance of Delphi and other PrecisionOS products, including by identifying common questions, investigating inaccurate or unhelpful responses, troubleshooting problems, and evaluating potential product features.
Delphi uses automated systems to process the content of an interaction and generate a response. Authorized PrecisionOS personnel may access transcripts only where reasonably necessary for the purposes described in this Privacy Policy and subject to appropriate confidentiality and security obligations.
Before text from a Delphi interaction is provided to a third-party AI system, we de-identify it by removing or masking information that directly identifies the user. We do not provide third-party AI systems with identifiable Delphi transcripts. Delphi chats are not used to train or fine-tune AI models.
3.3 Marketing
We may use the contact information of customers and users to provide information about PrecisionOS products, services, events, and other offerings. Where required by law, we obtain consent before sending electronic marketing communications. You may unsubscribe at any time by using the unsubscribe mechanism in a message or by contacting us. Unsubscribing from marketing communications will not prevent us from sending transactional, service, security, or other non-marketing communications.
4. How We Disclose Personal Information
We may disclose Personal Information in the following circumstances:

Organizations that procure or administer the Services: If an end user accesses the Services through an employer, educational institution, or other PrecisionOS customer, that organization may have access to certain Personal Information associated with the end user’s account and use of the Services, such as training and performance data. The organization cannot access the content of the end user’s Delphi chats or summaries of those chats.

Service providers: We use service providers to help us provide, host, secure, maintain, analyze, support, and improve the Services. These may include providers of cloud hosting, data storage, artificial intelligence or machine-learning infrastructure, speech-to-text transcription, customer support, database management, analytics, and payment processing. We provide third-party AI systems only with de-identified text from Delphi interactions. We do not provide those systems with information that directly identifies the user, and we do not permit Delphi chats to be used to train or fine-tune AI models. Other service providers may process Personal Information only as necessary to perform services for us or as otherwise permitted by our agreements with them and applicable law. We require service providers to protect information through contractual or other appropriate safeguards. Third-party applications and integrations: At your direction or with your consent, we may disclose information to an application, integration, or other third party that you choose to use with the Services. The third party’s own privacy policy governs its independent handling of your information.

Legal and safety purposes: We may disclose Personal Information where we reasonably believe disclosure is required or permitted by law, regulation, legal process, or governmental request, or is appropriate to protect the rights, property, security, or safety of PrecisionOS, our users, or others.

Business transactions: Personal Information may be disclosed or transferred as part of a proposed or completed merger, financing, acquisition, reorganization, sale of assets, insolvency proceeding, or similar corporate transaction. Where required by law, we will provide notice of a material change in control or use of Personal Information.
Personal Information may be processed in Canada, the United States, or other countries in which PrecisionOS or its service providers operate. As a result, Personal Information may be subject to the laws of those jurisdictions and may be accessible to courts, law-enforcement authorities, or other governmental authorities in accordance with applicable law.
5. Safeguarding Personal Information
We use reasonable administrative, technical, and organizational safeguards designed to protect Personal Information against unauthorized access, collection, use, disclosure, alteration, loss, and destruction. These safeguards are selected having regard to the sensitivity, amount, format, location, and intended use of the information.
No system or method of transmission or storage is completely secure. If you believe your account or Personal Information may have been compromised, please contact us promptly using the information below.
6. Retention
We retain Personal Information only for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, comply with our agreements and legal obligations, resolve disputes, and enforce our agreements. The applicable retention period depends on the type of information, the nature of the Services, the settings and instructions of the customer that provides an end user’s access, and applicable legal or regulatory requirements.
We retain Delphi transcripts and associated interaction information for as long as needed to provide conversation history and Delphi functionality, administer and secure the Services, meet our obligations to customers, and fulfill the other purposes described in this Privacy Policy.
When Personal Information is no longer required, we delete or de-identify it in accordance with our retention practices. Residual copies may remain for a limited period in backups or other systems designed to protect the security and continuity of the Services. We may retain information for longer where required by law, to respond to lawful process, or to establish, exercise, or defend legal claims.
7. Access, Correction, and Deletion
Subject to applicable law, you may have the right to request access to Personal Information we hold about you, obtain information about how it has been used or disclosed, correct inaccurate or incomplete Personal Information, withdraw consent, or request deletion of Personal Information.
Requests to access, correct, or delete Personal Information may include Personal Information contained in Delphi transcripts. If you use the Services through an organization and PrecisionOS processes other Personal Information on that organization’s behalf, we may refer the relevant portion of your request to the organization or ask you to submit it directly to the organization. Your organization cannot access the content of your Delphi chats or summaries of those chats.
We may need to verify your identity before completing a request. In limited circumstances permitted by law, we may refuse or restrict a request, including where disclosure would reveal Personal Information about another individual. If we refuse a request, we will provide an explanation where required by law.
Deletion requests are subject to applicable legal, contractual, security, backup, and other permitted retention requirements. To exercise a privacy right, contact our Privacy Officer using the information in Section 13.
8. Cookies and Similar Technologies
When you visit the Website or access the Services, we may use cookies and similar technologies to collect information about your device and interactions. These technologies include:

Cookies: Small data files stored on a device. Cookies may support authentication, preferences, security, analytics, and other functionality.

Log files: Records of activity that may include IP address, browser type, internet service provider, referring and exit pages, and date and time stamps.

9. EEA and UK Residents
If you are located in the European Economic Area or the United Kingdom, our legal basis for processing Personal Information depends on the context and may include:

pursuing our legitimate interests or those of a third party, provided those interests are not overridden by your rights and interests;

Subject to applicable law, you may have the right to request access to, correction of, deletion of, or restriction of Personal Information; object to certain processing; withdraw consent; and receive certain Personal Information in a portable format. You may also have the right to complain to the data-protection authority in the country where you live or work or where you believe a violation occurred.
Where PrecisionOS processes Personal Information on behalf of a customer that acts as the controller, we may refer your request to that customer.
Personal Information may be transferred outside the EEA or UK. Where required, we use an appropriate legal mechanism intended to protect Personal Information transferred internationally.
10. California Privacy Rights
Subject to applicable law and exceptions, California residents may have the right to:

know the categories and specific pieces of Personal Information we have collected about them, the sources of that information, the purposes for collecting or using it, and the categories of recipients to which it has been disclosed;

request deletion of Personal Information;

request correction of inaccurate Personal Information;

opt out of the sale or sharing of Personal Information for cross-context behavioral advertising;

limit certain uses or disclosures of sensitive Personal Information; and

not be discriminated against for exercising their privacy rights.
PrecisionOS does not sell Personal Information as that term is defined under the California Consumer Privacy Act. Where our use of cookies or similar technologies is subject to a right to opt out of sharing, California residents may exercise that right using available cookie controls or by contacting us.
California residents may submit a request using the contact information in Section 13. We may take reasonable steps to verify the identity and authority of the person making a request. An authorized agent may submit a request where permitted by law and subject to appropriate verification.
11. Changes to This Privacy Policy
We may update this Privacy Policy from time to time as our business, technology, Services, and legal obligations evolve. When we make changes, we will post the updated Privacy Policy and revise the “Last updated” date above. If changes are material, we will provide additional notice where required by law, such as by posting a notice on the Website or sending an email before the changes take effect.
12. Children’s Privacy
The Services are not directed to children under 13, and we do not knowingly collect Personal Information from children under 13. If we learn that a child under 13 has provided Personal Information to us, we will take reasonable steps to delete it. A parent or guardian who believes a child has provided Personal Information to us may contact our Privacy Officer.
